1. Acceptance of Terms
By accessing or using the Locatium.AI website (locatium.ai) or any product, feature, or service made available by Locatium Technologies S.L. ("Locatium", "we", "us", "our"), you agree to be bound by these Terms of Service and our Privacy Policy. These terms form a binding legal agreement between you and Locatium.
If you are accessing the platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms. If you do not agree, you must not use our website or services.
2. Description of Services
Locatium provides a cloud-based geospatial intelligence platform that delivers AI-powered analytics for enterprise organisations in the telecom, retail, and real estate sectors. Our platform includes modules for network planning and CapEx optimisation, commercial analytics, retail network expansion, and real estate valuation.
Access to the platform beyond public marketing content is subject to a separate subscription or professional services agreement entered into between Locatium and the contracting organisation. In the event of conflict between these Terms of Service and a specific service agreement, the service agreement shall prevail with respect to the scope of services governed by that agreement.
3. Account Registration and Responsibilities
3.1 Registration
Certain areas of our website and all platform features require you to create an account. When registering, you must provide accurate, current, and complete information. You are responsible for keeping your account details up to date.
3.2 Credentials
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorised by you. You must not share credentials with any third party.
3.3 Security notifications
You agree to notify Locatium immediately at privacy@locatium.ai if you become aware of any actual or suspected unauthorised access to your account or any other security incident.
3.4 Account eligibility
You must be at least 18 years of age and legally authorised to enter into contracts in your jurisdiction to create an account or use the platform.
4. Acceptable Use
You agree to use the Locatium website and platform only for lawful purposes and in a manner consistent with these terms. You must not:
- Use the platform for any purpose that is unlawful, fraudulent, or harmful.
- Attempt to gain unauthorised access to any part of our systems, servers, databases, or networks.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the platform.
- Use automated tools, bots, scrapers, or crawlers to access, extract, or index content from the platform without our prior written consent.
- Reproduce, distribute, resell, sublicense, or commercially exploit platform outputs or content without express written authorisation from Locatium.
- Upload, transmit, or introduce any malicious code, virus, trojan, or other harmful component.
- Interfere with or disrupt the integrity or performance of the platform or related systems.
- Impersonate any person or entity, or misrepresent your affiliation with any organisation.
Locatium reserves the right to investigate suspected violations of this section and to take appropriate action, including suspension or termination of access.
5. Intellectual Property
5.1 Locatium's intellectual property
All intellectual property rights in the Locatium platform — including its software, algorithms, predictive models, geospatial data layers, user interface designs, documentation, trademarks, and branding — are and remain the exclusive property of Locatium Technologies S.L. or its licensors. Nothing in these terms transfers any ownership right to you.
5.2 Licence to use
Subject to your compliance with these terms and any applicable service agreement, Locatium grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for your internal business purposes during the applicable subscription term. This licence does not permit resale or sublicensing.
5.3 Your data and content
You retain full ownership of any data, files, or content you upload to the platform ("Client Data"). By uploading Client Data, you grant Locatium a limited, non-exclusive licence to process that data solely for the purpose of delivering the contracted services. We will not use Client Data for any other purpose without your explicit consent.
5.4 Feedback
If you submit suggestions, feedback, or ideas about the platform, you grant Locatium a perpetual, royalty-free, irrevocable licence to use that feedback without restriction and without any obligation to you.
6. Data and Confidentiality
6.1 Confidentiality obligations
Each party agrees to keep the other party's confidential information strictly confidential and not to disclose it to any third party without prior written consent, except as required by law or as necessary to perform obligations under a service agreement.
6.2 Data compliance
You are responsible for ensuring that any data you upload or process through the platform complies with all applicable laws, including data protection and privacy regulations. You represent that you have obtained all necessary consents, authorisations, and rights to share such data with Locatium for processing.
6.3 Data processing
Where Locatium processes personal data on your behalf as a data processor, the terms of our Data Processing Agreement (available upon request) will apply. Our general privacy practices are described in the Privacy Policy.
7. Disclaimers and Warranties
The Locatium website and platform are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Locatium expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including:
- Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
- Any warranty that the platform will be uninterrupted, error-free, or free from harmful components.
- Any warranty regarding the accuracy, completeness, or suitability of geospatial analytics, modelled outputs, or market intelligence for any specific decision.
Locatium's geospatial outputs and AI-generated analytics are designed to support decision-making processes; they are not professional investment, legal, or engineering advice and should not be relied upon as the sole basis for any decision.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Locatium's total cumulative liability to you arising out of or in connection with these terms or your use of the platform shall not exceed the total fees paid or payable by you to Locatium in the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall Locatium be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, loss of data, loss of goodwill, or business interruption — even if Locatium has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such jurisdictions, Locatium's liability is limited to the greatest extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Locatium Technologies S.L. and its officers, directors, employees, contractors, and licensors from and against any claims, demands, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of any provision of these terms.
- Your use of the platform in a manner not expressly authorised.
- Your violation of any applicable law or the rights of any third party.
- Any data or content you upload, transmit, or process through the platform.
10. Termination
10.1 Termination by either party
Either party may terminate a subscription or service agreement by providing notice in the manner and within the timeframes specified in the relevant service agreement. Website access may be discontinued at any time without notice.
10.2 Termination by Locatium
Locatium may suspend or permanently terminate your access to the platform or website immediately and without prior notice if you breach any provision of these terms, if we are required to do so by law, or if continued access poses a risk to the security or integrity of our systems or other users.
10.3 Effect of termination
Upon termination of your account or subscription, your right to access the platform ceases immediately. We will handle any Client Data in accordance with the applicable service agreement and our Privacy Policy. Provisions of these terms that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, and governing law — shall survive.
11. Governing Law and Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles.
Any dispute arising out of or in connection with these terms — including any question regarding their existence, validity, or termination — shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain, unless the parties have separately agreed to an alternative dispute resolution mechanism in a service agreement.
Nothing in this section limits either party's right to seek emergency interim relief from a competent court to prevent irreparable harm.
12. Miscellaneous
12.1 Entire agreement
These Terms of Service, together with the Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Locatium with respect to the subject matter herein and supersede all prior negotiations, representations, or agreements.
12.2 Severability
If any provision of these terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
12.3 Waiver
Locatium's failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision. Any waiver must be made in writing and signed by an authorised representative of Locatium.
12.4 Assignment
You may not assign or transfer any rights or obligations under these terms without Locatium's prior written consent. Locatium may assign these terms in connection with a merger, acquisition, or sale of its assets without restriction.
12.5 Changes to these terms
Locatium may revise these Terms of Service from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be communicated by reasonable means. Continued use of the website or platform after the effective date of any changes constitutes your acceptance of the revised terms.
